Desigly Terms of Service
Last updated: September 17, 2026
These Terms of Service (“Terms”) govern your access to and use of the Desigly website at https://www.desigly.com and any design, development, consulting, or support services provided by Desigly (“Desigly,” “we,” “our,” or “us”).
By using our website or engaging our services, you agree to these Terms. If you do not agree with these Terms, please do not use our website or services.
1. Our Services
Desigly provides website design and digital services, which may include:
-
New website design and development.
-
Website migration.
-
Website redesign or renewal.
-
E-commerce setup and optimization.
-
Product uploads and payment integrations.
-
Search-engine optimization and performance improvements.
-
Website maintenance, training, and ongoing support.
The specific services, deliverables, timeline, price, and responsibilities for each project will be agreed upon separately in writing, such as through a proposal, quotation, project agreement, invoice, or email.
2. Project Requirements
Before beginning a project, you agree to provide accurate and timely information, content, branding materials, images, text, account access, and other materials reasonably required to complete the work.
You are responsible for ensuring that any materials you provide to Desigly:
-
Belong to you or are properly licensed.
-
Do not infringe another person’s intellectual-property rights.
-
Do not violate applicable laws.
-
Are accurate and suitable for publication.
Delays caused by missing information, late feedback, unavailable account access, or changes in project requirements may affect the project timeline and price.
3. Proposals and Scope of Work
The agreed proposal or project agreement defines the project scope. Work outside that scope may be treated as additional work and may involve extra fees or an adjusted delivery date.
Requests that significantly change the original design, functionality, platform, content, or technical requirements may require a revised quotation.
4. Client Reviews and Revisions
We may provide opportunities for you to review designs, layouts, content, or functionality during the project.
You agree to provide clear and consolidated feedback within a reasonable period. Unless otherwise agreed in writing, additional revisions beyond the included revision rounds may be charged separately.
If you approve a design or deliverable, later changes to that approved work may be considered additional work.
5. Fees and Payments
Project fees, deposits, payment schedules, and due dates will be stated in the applicable proposal, invoice, or project agreement.
Unless otherwise agreed:
-
A project may require an initial deposit before work begins.
-
Payments must be made by the due date.
-
Desigly may pause work if an invoice remains unpaid.
-
The client is responsible for third-party costs, including hosting, domains, paid templates, plugins, apps, fonts, stock assets, platform subscriptions, and payment-processing fees, unless otherwise agreed.
-
Work may not be launched or transferred until required payments have been received.
6. Cancellations and Refunds
If you cancel a project after work has started, you may be responsible for payment for work completed, expenses incurred, and any non-refundable third-party costs.
Deposits are generally non-refundable once work has begun, unless otherwise required by applicable law or expressly agreed in writing.
Any additional payment or refund terms may be described in our Payment & Refund Policy.
7. Launch and Client Approval
Before launch, you are responsible for reviewing the website and confirming that its content, functionality, design, links, products, prices, forms, and other details are correct.
Once you approve the website or it is launched at your request, Desigly is not responsible for errors that could reasonably have been identified during the review process.
8. Third-Party Platforms
Desigly may build or configure websites using third-party platforms and services, including Wix, Shopify, Squarespace, hosting providers, payment processors, analytics services, plugins, and external applications.
Your use of those services may be subject to their separate terms, policies, fees, limitations, and technical requirements. Desigly does not control third-party platforms and cannot guarantee their availability, pricing, security, features, or continued operation.
9. Intellectual Property
Unless otherwise agreed in writing:
-
You retain ownership of original content, logos, photographs, text, and other materials that you provide.
-
After full payment, you may use the final website deliverables created specifically for your project.
-
Desigly retains ownership of its pre-existing tools, processes, templates, code libraries, methods, concepts, and reusable components.
-
Third-party materials remain subject to their own licenses.
-
Desigly may display completed work in its portfolio, website, social media, or marketing materials unless you request otherwise in writing.
You must not resell, copy, distribute, or claim ownership of Desigly’s pre-existing materials or reusable resources unless we provide written permission.
10. Client Content and Legal Compliance
You are solely responsible for the content, products, services, claims, pricing, policies, and materials published on your website.
You are also responsible for ensuring that your website complies with applicable laws, including requirements relating to:
-
Privacy and data protection.
-
Cookies and analytics.
-

-
E-commerce and consumer protection.
-
Advertising and marketing.
-

-
Industry-specific regulations.
Desigly may provide general recommendations, but we do not provide legal, tax, financial, or regulatory advice.
11. Website Performance
We will use reasonable care to deliver the agreed work. However, we do not guarantee that a website will:
-
Achieve a particular search-engine ranking.
-
Generate a specific number of visitors, sales, leads, or donations.
-
Be completely free of errors.
-
Operate without interruption.
-
Work identically on every device, browser, platform, or future software version.
-
Remain unaffected by changes made by third-party platforms.
12. Ongoing Support
Any maintenance, support, updates, troubleshooting, or training services will be provided according to the applicable agreement.
Support does not automatically include new features, redesigns, major content changes, third-party platform issues, or work caused by unauthorized changes made by the client or another service provider.
13. Acceptable Use
You must not use our website or services to:
-
Break the law or facilitate unlawful activity.
-
Infringe intellectual-property, privacy, or other rights.

-
Interfere with the security or operation of our website or services.
We may suspend or refuse service if we reasonably believe these Terms have been violated.
14. Confidentiality
Each party agrees to take reasonable steps to protect confidential information received from the other party and to use it only for the relevant project or business purpose.
Confidential information does not include information that is publicly available, independently developed, already known, or required to be disclosed by law.
15. Limitation of Liability
To the maximum extent permitted by law, Desigly will not be liable for indirect, incidental, special, consequential, or loss-related damages, including loss of profits, revenue, business opportunities, data, goodwill, or website traffic.
To the maximum extent permitted by law, Desigly’s total liability relating to a project or service will not exceed the amount paid to Desigly for that specific service during the six months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
16. Indemnification
You agree to defend, indemnify, and hold harmless Desigly from claims, losses, damages, liabilities, costs, and expenses arising from:
-
Content or materials you provide.
-
Your products, services, business practices, or website.
-
Your violation of these Terms.
-
Your violation of another person’s rights or applicable law.
17. Suspension or Termination
Either party may end a project or service relationship according to the applicable project agreement.
Desigly may suspend or terminate access to services if you fail to pay, provide required information, misuse our services, or materially breach these Terms.
Termination does not remove payment obligations for work already completed or expenses already incurred.
18. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date.
Your continued use of the website or services after changes are posted means that you accept the updated Terms.
19. Governing Law
These Terms will be governed by the laws applicable to Desigly’s principal place of business, unless another jurisdiction is required by applicable law or agreed in a written project agreement.
Any disputes should first be addressed through good-faith communication. If a dispute cannot be resolved informally, it may be submitted to the courts or dispute-resolution process with appropriate jurisdiction.
